Stefan Retief

Manager | M&A Tax

I have always had a widely varying array of interests; from analysing the implications of new tax legislation to fine arts and classical music. I have a curious tenacity for understanding complex systems .

My work style involves first obtaining a holistic view of the problem, before conducting extensive research on the matter. In order to arrive at the most beneficial solution, I always try  to take into account as many opinions, variables and potential outcomes.

I am research-oriented and enjoy working in multi-disciplinary teams with talented individuals from differing academic and industry backgrounds. I also have a creative side which helps me think outside the box when it comes to developing new strategies. The wide client base I served at Deloitte has taught me adaptability to understand a client’s specific needs and develop innovative solutions tailored to their environment. I have a thirst for travel and adventure

Work History

Manager (M&A)

Deloitte Taxation Services - South Africa

I assist clients in corporate restructures in order to structure such a transaction as tax-neutral as possible. I also advise clients on potential M&A activity (both buy- and sell-side) in order to structure any disposal or acquisition as tax-efficiently as possible.

My work includes creating detailed tax disposal models and transaction summary memoranda allowing clients to visualise the potential effects of their proposed transaction. I also assist in providing alternative strategies which may prove more efficient, taking into account future expansion and exit strategies. I liaise with our colleagues in other jurisdictions to identify any tax risks when dealing with multi-jurisdictional transactions.

I also review sale and other agreements from a tax perspective to ensure that the objectives of any structuring arrangement are met when executing these agreements.

In addition to structuring I also perform tax due diligence reviews for clients (both buy- and sell-side) on potential targets and/or disposal businesses in order to identify any tax risks.

Following my promotion to manager, I assist more in winning business , drafting proposals and liaising directly with clients to understand their needs.
