Working for the leading managed services company that delivers flexible ICT, Voice, Data and Mobile communication services to its customers. Azzurri is headquartered in the UK and offers global access to sales, service and support to customers in 130 countries. Many of Azzurri’s customers are major multinationals and household brands with around 25% of them being FTSE100 companies. • Providing legal advice and guidance with a view to minimising risks to the business within a set of contractual, commercial and legal guidelines; • Liaise with commercial, projects and senior Azzurri management to ensure contracts are deliverable and commercially acceptable and answer ad-hoc contractual queries from within Azzurri; • Full ownership of revenue contract and associated supplier contract work-streams; • Review, draft, negotiate, and comment on a wide range of standard and non-standard customer, supplier and sub-contract agreements with a technology focus (such as telecommunications services from third party carriers, MSAs, NDAs, payment service provision (online and mobile), ICT - procurement of hardware and software, systems and services, general supplier agreements); • Adapt customer contracts based on Azzurri terms to meet particular deal requirements; • Liaise with external legal advisors as and when required; • Maintain accurate records and log of live contracts within an established methodology; • Liaise with Legal Assistant to ensure contracts are fully executed; • Understand and implement the contractual, commercial and legal guidelines set by Azzurri; • Ensure compliance with any relevant legislation and regulations including interpreting the effect on Azzurri of any proposed changes to such legislation and regulations; • Attend customer and supplier meetings in person when necessary.

Chequepoint is a leading international financial services brand for 38 years operating in over 70 countries. Responsible for the company/commercial matters and represent the organisation in negotiations with current and potential business partners and their Counsel, at all times ensuring that relevant stakeholders are properly advised of relevant legal issues. • Reporting directly to the Managing Director ("MD") and working with the MD to optimise the agreements that organisation negotiates; • Draft and advise various agreements and other legal documents, including licenses, Guarantees, Confidentiality Agreements, Master Agreements, Employment Contracts, Terms & Conditions, and other relevant commercial agreements as required to protect the organisation’s interests and intellectual property rights; • Ensure that the highest standards of governance is achieved and that the company’s legal obligations are compliant at all times with local, national and international laws; • Assist the MD as required on transactions, business developments and special projects; • Company Secretarial matters and managing all aspects of the company’s corporate governance relating to appointments/resignation of Directors, annual disclosures and returns etc. for all group companies as required under the Companies Act (and corresponding legislation in other jurisdictions in Europe); • Mitigate and seek to avoid any litigation that the organisation may become involved in; • Providing advice on local and regional legal/corporate matters, such as M&A and joint-ventures; • Brief and provide impartial and independent advice to the MD in preparation for Board meetings and on all governance matters; • Maintain a good working knowledge of governance best practice, relevant issues, statutory requirements and regulations; • Maintenance of Trademarks/IP, Patents and web names in liaison with the MD; • Ad hoc and detailed advice on policies in defining risks on legal and regulatory requirements.

Worked in a reputable boutique law firm for the Corporate and Commercial departments located in the DIFC where I advised a range of clients from large corporate and commercial entities to high net-worth private individuals on both DIFC law and UAE law. Advise on a full range of commercial disputes, including breach of contract, shareholder disputes and tortious disputes. Areas of work also span from a wide range of other industry sectors including information technology, telecoms, media, investment banking, energy, aviation, real estate, and others. Work involves in particular:

Successfully trained as a Solicitor and went on to work as a Commercial Lawyer in the non-contentious department dealing with primarily commercial contracts and employment law. Duties varied to include:

Commercial Property & Commercial Contracts

·Advise and prepare documents in the Property and Contracts Department, which included advising and drafting contracts, commercial licenses, lease renewals, notices and rent reviews;

·Procurement and complex contractual negotiations, manage and evaluate new contract arrangements;

·Legal advice and prepared proceedings in the Courts and at Tribunals or inquiries and in particular drafting compromise agreements, grounds of resistance, pleadings , notices, witness statements and other documents required for hearings together with the support of Counsel where necessary;

·Appear on behalf of the Organisation at short hearings in the Courts and at Tribunals and inquiries;

·Give ad hoc and detailed advice on complex employment and contentious contractual matters such as breach of commercial licences, TUPE, discrimination matters;

·Represent the Law and Corporate Governance Directorate at such external and internal meetings as may be allocated from time to time providing proactive

·Clear and effective advice and taking responsibility for the legal compliance such as Data Protection and Freedom of Information matters;

·Provide firm and positive advice to the Organisation and its Members/officers on any area of the law relevant to the organisation’s functions as a Corporate entity, Landowner and Employer;

·Advise and assist the Organisation in its key corporate initiatives.

Played an important role in the mechanics of the legal process in the Corporate and Commercial Litigation departments. Worked as a fee earner where a good organisational skill of highly complex cases was required. Duties varied to include:

·Undertaking legal research using internal resources, external legal databases and research tools, know-how, and precedents.

Gained the ability to effectively deal with various tasks in a fast paced and pressurised environment, which often required great patience and tact.
