The Lyons Acquisition Group (LAG) is a Partnership that was formed as a vehicle to acquire some profitable, ($25 Million to $175 Million) businesses to manage or operate.  Our Partners include Tom Lyons, Jake Sagehorn, Dennis Cagan and Harry Elkin.  We have also engaged Bernie Carrico and Greg Hext (Chapman Hext and White Rock Advisors), as our M&A advisors and intermediaries.  Funding commitments have been secured from two Private Equity Groups.

The following summarizes our acquisition criteria:

1.        Location: 7 county area surrounding the DFW metroplex

2.        Ownership:  Privately held, but will consider public companies

3.        Verticals:  Manufacturing of consumer products, branded products, industrial 

            products or  high technology products.  Wholesale  distribution (business to

            business) companies with products or services that have  the ability to

      grow through expanded  channel distribution, new product development and

      strategic  “tuck- in” acquisitions. 

5.        Financial metrics:  Revenue $25 Million to $150 Million with a   positive

           EBITDA of at least $5 million

We are prepared to pay a finders fee for the introduction to company principals, on the basis that it is not an ethical conflict and that we complete a transaction.

Thomas Lyons-President & CEO

Tom has been the CEO/President of Rawlings Sporting Goods, National Spirit Group, Avery Communications and Figgie Acceptance Corporation and Director of Mergers & Acquisition for Figgie International Inc.  He has demonstrated strengths in operational management, turnarounds, strategic acquisitions and management team development.

  • Achieved a 50% increase in annual revenues resulting in a multi-million dollar profit turnaround at Rawlings Sporting Goods.
  • Developed and implemented strategic marketing plans for over 20 product line categories resulting in increased market penetration, higher sales, improved profitability and additional product visibility.
  • Consummated eight acquisitions in two years based on an internally developed ROI/ROA matrix, rewarding divisions in a 35 division conglomerate for outstanding past performance.
  • Identified, acquired and integrated several telecommunication companies, and completed a reverse merger into a public company becoming one of the fastest growing high tech companies in the Dallas/Ft. Worth marketplace as rated by  the Dallas Business Journal

Dennis Cagan-High Technology Entrepreneur, Board Member (

Dennis Cagan has been in the high technology industry as an active and successful entrepreneur since 1967, having founded or co-founded over two dozen different companies. Dennis has been a professional board member (over 43 boards, including 9 public companies), Chairman, CEO, President, investor, mentor and consultant since 1980. As the founder, Chairman and CEO of the Santa Barbara Technology Group, LLC, Dennis continues to oversee all activities including monitoring portfolio investments. He also devotes time to mentoring early-stage technology companies

From May 2006 to May 2008 Dennis served as the Chairman, Chief Executive Officer and President of TWL Corporation (TWLP.OB) and its subsidiary TWL Knowledge Group, Inc., both based in Carrollton, Texas. TWL is a leading provider of integrated learning solutions for compliance, safety, emergency preparedness, continuing education and skill development in the workplace. Since 1986, TWL Knowledge Group has met the training and education needs of more than eight million professionals in the industrial, healthcare, fire and emergency, government, law enforcement and private security markets. The company produces and delivers education and workplace skills training content to organizations via global satellite television, the Internet and traditional media such as DVD, CD-ROM and PC-based, quasi virtual reality simulation platform.

Dennis is a nationally recognized authority on information technology, including: the Internet, software, hardware, services and communications, in the disciplines of company strategy, sales, marketing, product development and distribution channels. He has authored a multitude of articles and has spoken widely at industry conferences, to entrepreneurial organizations, and to paying corporate audiences such as Microsoft.

In 1979 Dennis was the keynote speaker at the first COMDEX Show, in Las Vegas. Since 1983 Dennis has been involved as a director or investor with a number of technology enterprises including Wavefront Technologies (then Alias/Wavefront - NASDAQ, acquired by Silicon Graphics), (NASDAQ, merged with, now OpenWave), Somera Communications (NASDAQ), Supply Solution, Commission Junction (acquired by ValueClick), Bargain Network (acquired by Vertrue), InTouch Health and Blue Casa Communications.

Dennis has been on the board of a number of other publicly listed technology firms as well including The David Jamison Carlyle Corp. (acquired by a public British firm), ISOCOR (acquired by Critical Path), MessageMedia, Inc. (acquired by DoubleClick), Great Bear Technologies, StarPress and Sanctuary Woods Multimedia.

Dennis, born in 1945, is a native Californian, and attended the University of California at Los Angeles where he majored in economics. He has an honorable discharge from the USMC. Dennis and his wife Angelia have four daughters and live with their youngest in a suburb of Dallas, Texas.

D. Jake Sagehorn- CEO, Board Director

Jake Sagehorn is a global executive and C-level business partner with a passion for turning around underperforming companies and maximizing revenues and profitability. He is an accomplished leader with a successful history of unprecedented performance in fast moving, highly demanding environments. He is recognized for his expertise in acquisitions and integrations, P&L management, operational effectiveness, and new business and channel creation, spanning private to Fortune 100 firms.Industry accomplishments are in technology, telecom, professional services and consumer products/manufacturing.

Sagehorn was Chief Executive Officer and Board Director of A NOVO Americas Incorporated.During his first 18 months, he transformed the multi-plant operation and reversed net losses of over $1 million per month to a profitable entity by accelerating revenues by 500%, volumes by 400% and increased gross profit margin by 18%.To handle this volume increase, he executed a “fast ramp” program that hired 400 employees and rocketed revenues an incremental $40MM.Sagehorn was a member of the Global Operations Board and a Director for A NOVO America del Sur.

Jake founded and operates Sagehorn Consulting, LLC and develops his clientele through business and technology consulting expertise.He recently saved one of his clients $4MM in telecom expenditures.

At Nokia, Sagehorn was General Manager for a new venture named Americas Enterprise Business unit where he was responsible for P&L, strategy, product management, sales & marketing where he launched the first vertical business applications in Nokia’s history and rapidly grew the unit to $60MM in twenty months.

Jake was previously a Principal and Vice President at Vertek Corporation; a privately held telecom consulting firm where he grew sales 50%/$15MM.This revenue growth was instrumental in gaining $34MM in Series A financing which launched a spin out firm named Synchronoss Technologies (SNCR on NASDAQ).

At AT&T, he was Vice President of Sales of the fastest growing sector and grew revenue to $1B.He launched successful global business operations including international ventures – World Partners Company, AT&T Unisource and AT&T/BT joint venture, Concert.As the data-networking leader, he grew revenues 22% to $6B.He also chaired the Global Customer Advisory Council, the Customer Data User Group and was instrumental in making AT&T the market leader in Enterprise data networking.

Sagehorn is a member of the CEO Netweavers organization and is active on the Operating Board.He is a past member of the CTIA-WIC Board, Dallas Business Marketing Association Board and a frequent speaker at various industry forums and expositions. Sagehorn earned an MBA from the University of Nebraska.

Harry Elkin- President /COO(

Harry Elkin has extensive senior operations management and entrepreneurial experience in a diverse number of Fortune 500 and privately held businesses, and a record of success in improving sales and profitability, turning around underperforming businesses, and increasing shareholder value.

His most recent experience has been as the President of a very profitable boutique capital equipment trading company, where he led his team to deliversales that generated a 46% gross profit and 30% net income during the past ten years.

Harry is equally qualified and capable of managing the M&A process from sourcing to due diligence to final negotiations. He was responsible for sourcing and evaluating acquisition candidates, managing the due diligence team, and negotiating transactions for a $100 million multinational industrial manufacturing company.

His experience includes P&L management, mergers and acquisitions, business turnarounds, developing global international strategic alliances and partnerships, profit/productivity improvement, operations management, industrial engineering, subcontract manufacturing and internal auditing in industries that include: snack food, semiconductor capital equipment, TV and stereo manufacturing, diesel fuel injection systems, point of sale displays, foundries, paper mills and packaging operations.

Recruited as Managing Director in 1997; advanced to President in 2004. Accomplished this initially by forging a strategic partnership with an Austin-based friendly competitor in the same industry. Proceeded to cement a partnership relationship with an established Tokyo company with extensive industry international relationships.

Increased sales 200% and gross margin 81%; reduced costs 19% and increased net income 388% over a three-year period. Achieved this by downsizing and relocating the business, developing strategic partnerships in the US and in Japan, and hiring a high performing sales team.

Developed global marketing, sales and vendor relationships in the capital equipment servicing industry throughout the U.S., Europe, and Asia.
