Director, Transaction Services (M&A)


Advised on over 40 corporate and private equity acquisitions ranging from $20M to $10B across a broad range of industries (retail, automotive, industrial products, manufacturing, transportation and logistics and financial services). ·Led business and financial due diligence engagements including assessment (and development) of business strategy, forecasts, upside potential and downside risk. ·Developed valuation models and advised on financing alternatives. ·Identified and assessed operational improvement opportunities and synergies. ·Developed post merger integration plans with a focus on realizing deal synergies while controlling integration costs and maintaining organization focus. ·Created and presented concise issues focused reports to corporate boards, investment committes and senior executives, ·Negotiated purchase and sale agreements. ·Extensive experience with financial reporting, internal controls, corporate governance & GAAP ·Strong business development focus with a proven ability to sell and deliver services contributing to the strong growth of Transaction Services. ·Extensive project management experience managing and motivating large, diverse teams ·Cross border and international experience (Korea, UK, Italy and USA).

Led a ten person finance organization focused on business unit strategy (mutual fund, institutional investment management and defined contribution recordkeeping businesses), cost effectiveness and process improvement, new product and business development opportunities, performance management, scorecarding, financial reporting and industry intelligence.

·Drove development of enhanced sales strategies for lines of business including selling investment management into the Defined Contribution and Financial Planner channels as well as the creation of coordinated national accounts sales plans.

·Assessed the potential to improve profitability and competitiveness of the Defined Contribution Administration business including client revenue enhancement opportunities, competitive repositioning, enhancing the value proposition, determining market placement, and identifying and executing on cost reduction opportunities.

·Successfully sold the Defined Contribution Administration business unit (due diligence process and sale transaction occurred on schedule and all deal objectives were met or exceeded). Led the preparation and buyer due diligence process and part of core valuation, modelling and negotiating teams.

·Explored long term strategic placement of the core business.

·Drove cost and headcount reduction efforts during stock market downturn.

·Developed a structured pricing strategy and policies for the institutional investment management business which ensured competitiveness and efficiency.

·Led line of business budgeting, planning and scorecarding processes.

·Supported numerous product launches including development of related business cases; most recently the High New Worth platform.

·Enhanced sales force compensation to ensure profitability and adherance to business objectives.
