Represented small and mid-size biotech companies in transactional matters at a global, full-service law firm specializing in energy, real estate, financing and technology.  Significant expertise in mergers, acquisitions and venture capital financing.  Advised clients on California corporate law matters on a daily basis.  Assisted partners with indentures, subordination agreements, loans and related financing documents.  Organized and ran due diligence reviews as part of major business deals. 

  • Prepared and implemented complicated stockholder rights plans in order to prevent the hostile takeover of our client companies.
  • Drafted complex licensing agreements with minimal oversight, saving clients money while providing excellent service.
  • A member of the legal team that brought a publicly traded international client private.
  • Drafted article about the London Alternative Investment Market published in a treatise about venture capital and private equity in China.

Researched and wrote motions and pleadings filed in the Southern District of California on behalf of the United States government.  Composed detailed memorandums on issues of bankruptcy law and the Federal Tort Claims Act.   • Sole student from law school selected to work for the civil division of the U.S. Attorney's Office in the Southern District during 2004 summer term.

Legislative Aide to State Senator

Commonwealth of Massachusetts

Responsible for all correspondence with the 160,000 constituents in Senator's home district.  Crafted weekly press releases and speeches for the Senator.  Handled press inquiries from the Senator's district, represented Senator at official functions, and advised Senator on political issues.

  • Met with the First Minister of Scotland to discuss policy issues related to cloning and genetic engineering as director of Massachusetts Senate's Science and Technology committee.
  • Organized Science and Technology committee meetings and hearings, enabling important legislation to come out of committee and be heard and voted on the floor of the Senate.
  • Held face-to-face meetings with key constituents in Senator's home district to garner support for Senator and to address budget concerns.

Anti-Defamation League

Drafted grant proposals to fund educational programs combating racism and anti-Semitism in public schools for nation's premier civil rights and human relations agency. Researched and recorded growth, location and activities of hate groups in the United States. 

  • Attended extremist conferences and filed reports to enable the national ADL office to keep track of hate group's activities.
  • Outlined map of police districts in Los Angeles which was broadcast on local news immediately after a shooting at a Jewish community center in order to notify residents of the location of their local authorities.
  • Created matrix of non-profit foundations in the United States providing grants for educational programs, enabling the Los Angeles office to receive funding for various projects.
