  • Remedied material control weaknesses by implementing a financial reporting function and new processes.  All production operations for matches were transferred from Switzerland to San Jose.

  •  Promoted to CEO to accelerate turn-around activities and to grow the revenue and profits.
  • Implemented restructure of operations to improve profits by analyzing the profitability and efficiency of all subsidiaries. Completed the definitive agreements to convert the Chinese subsidiaries from joint ventures into wholly owned subsidiaries.
  • Improved financial reporting processes which drove accountability to the business level, improved timeliness of financial information and improved the visibility of financial metrics.

  • Generated profits for first time in 5 years for telecomm division: changed pricing strategy for call revenue and cut direct and overhead expenses 35% to $900 thousand monthly. Settled multi-million dollar lawsuits which allowed for new investment in the company.
  • Managed cash burn and raised operating funds of $1.8M which paid for new mobile advertising division.
  • Led merger activities for Intera. Assembled due diligence package for potential buyers. Prepared valuation models and resolved complex legal and tax issues of the various deal structures with counsel. Assisted with post-integration organization decisions after merger.

  • Company's revenues grew by 3 X from 2006 to 2008. I upgraded the ERP system and financial reporting, and strengthened internal controls. Financial analysis high-lighted customer profitability and we were able to raise prices and retain customers. Gross margins improved from 35% to 48%. The controls were essential for obtaining ISO certification.
  • Established manufacturing operations in China to serve new OEM customers in Asia. Hands-on manager: I negotiated joint venture agreements, handled all legal and human resource issues, and staffed the facility. Revenues from Asia grew to 60% of world-wide revenue.
  • Led the company's strategy of growth by acquisition; identified target companies, performed due diligence, and negotiated terms and conditions. Led a successful investor road show to raise money and obtained approval from the board and investors for acquisitions. BlockShield acquired a complementary RFID manufacturer which broadened the company's product offering.

  • Overall margins were 25% and there was no visibility into the profitability of separate business lines. I designed a management reporting package which showed separate P&L's for each product line. The result was that we focused more resources on higher margin products and reduced efforts on low margin products. Revenues increased 70% and margins improved to 40%. Company was successfully sold for 4 times revenue.

  • The company's product was in pilot stage and it had an infrastructure of people and facilities to support over $50M of sales. The cash burn rate was $2 M per month which I reduced to $400K.
  • Performed in-depth market analysis, including customer calls and due diligence of competitors. The market for optical switches was depressed; however, we found other markets and product applications for Onix's intellectual property. 
  • I generated a positive return for shareholders. Successfully sold the companies IP and assets to a major semi-conductor company and resolved difficult company liabilities.

  • Prepared the company for an IPO. Worked with outside auditors, lawyers and investment bankers to write the S-1 prospectus. Hired staff and implemented company procedures and accounting systems for public company activities. 
  • Established comprehensive financial controls as the business grew from $2M to more than $20M in annual revenues. Directed detailed customer reviews and implemented formal revenue recognition policies in compliance with GAAP. 
  • Negotiated forbearance agreement with bankers during insolvency.
