Charles Katz is co-chair of the firm’s Emerging Company Venture Capital practice and a partner in the Northern Virginia office, where he focuses on representing emerging growth and technology companies. Mr. Katz concentrates on transactional work, with an emphasis on mergers and acquisitions, private equity and venture capital transactions, divestitures, recapitalizations and restructurings, debt and equity financings and securities offerings, leveraged and management buyouts, joint ventures and strategic investments. In these transactions, he has represented the full range of parties, including bidders, targets, private equity groups, management teams, public companies, private companies, private investors, investment banks and financing sources. He has been involved in all phases of these transactions, including initial planning, structuring, negotiation, implementation and advice. Mr. Katz has worked on transactions across a variety of industries, including among others technology, government contracts, education, manufacturing, communications and other regulated businesses. He has experience in both domestic and international transactions, including the representation of parties in cross-border transactions and with multinational investors.

Mr. Katz also counsels clients on a broad range of corporate and securities and business-related matters, including directors’ duties and responsibilities and other aspects of corporate governance and disclosure issues. He also has experience with transactions, financings, and corporate governance issues in financially distressed and bankruptcy situations. He has spoken at various seminars and conferences and written on legal and other developments in the area of mergers and acquisitions and venture capital transactions. For the past two years, Mr. Katz has been named a Leading Lawyer in Corporate/M&A in the Chambers USA: America’s Leading Lawyers for Business directory put out by Chamber & Partners Publishing. In 2005, Mr. Katz was named one of the area’s top “Young Guns” in the Washington Business Journal’s Top Washington Lawyers issue.
