Burton Goetze, Inc. has provided strategic business consulting services since 1986. As advisor in the acquisition or sale of numerous mid-sized private companies BGI has guided sellers in transactions ranging from $10 to $100 million. BGI also served as an advisor to several private companies during the restructuring and renegotiation of credit and equity relationships.  In the Healthcare industry BGI represented the largest Hospital system in Texas in extensive feasibility, market analysis, decision analysis, and implementation of corporate and operational strategic real estate decisions. BGI also provided executive level consulting on system-wide asset allocation, deployment and disposition for a large Texas not-for-profit Hospital System.BGI represented numerous private and public companies in managing and implementing commercial real estate decisions. BGI also represented a large off-shore holding company in the acquisition, development, and subsequent disposition of more than a dozen golf anchored residential developments.

Served as a consultant to the company in the coordination of the preparation of the company for a private equity re-capitalization.  I was retained to assist in the completion of the year-end audit, the drafting of a business plan and investment memorandum.  I coordinated with the firms legal and tax counsel to clear numerous due-diligence roadblocks and managed the selection of an investment banking firm resulting in over 20 indications of interest and 3 letters of intent.

Art was retained to assist the company with healthcare strategy, technology enhancements and development of new marketing channels.  The strategy shift included a logo upgrade and development of a complete multi-faced web presence.  He sourced and implemented an advanced multi-channel communication system resulting in a 100% increase in call center utilization by converting outbound calls into inbound. The solution also yielded valuable patient response data increasing the intrinsic solution value to its customers.  Profits increased along with customer loyalty.  

The communications platform also enabled the addition of incremental revenue opportunities of a unique range of leading edge patient communications for pre and post clinical matters, case management, med-minders, target marketing and real-time survey tools. 

Art also secured a coveted endorsement contract and co-marketing agreement with the Texas Hospital Association.  The company was subsequently sold to a private equity group.

Emergency Health Centres

Emergency Health Centre, is a pioneer of independent ER centers that are forever changing face of Emergency Medicine.  EHC provides state of the art emergency medical care utilizing the most advanced diagnostic tools and technology, leading software solutions and board certified medical professionals. Patients are regarded as valued customers, in high quality facilities combined with concierge style amenities and clinical excellence.  As a Founder and COO in partnership with two veteran emergency physicians Art developed this revolutionary concept from vision to nationally recognized success. The center opened at300% of projections and was applauded by patients and recognized in the national medical community as a shining example of modern healthcare.  EHC also earned highest marks in multiple accreditation surveys by the Joint Commission for Accreditation of Healthcare Organizations (JCAHO).

This ground-up effort included: projections and budgets, capital formation, site selection/negotiation and the design and development of a complex industry leading medical facility; selection and integration of 7 clinical and operating software solutions into a virtually paperless environment; development of business and clinical operating systems and protocols;  recruiting and staffing of over 75 medical professionals, management and support personnel, as well as the development and launch of an innovative branding and marketing campaign.

Specific Accomplishments:

  • Planned and executed the company from conception to cash flow.
  • Assembled a highly successful clinical and management team.
  • Led the development of a highly complex and virtually paperless clinical environment including patient medical records and all clinical modalities.
  • Managed a complete branding and successful public awareness campaign resulting in extensive local and national media coverage.
  • Led the State of Texas in licensing non-hospital emergency medicine.  Drafted and sponsored Texas HB 1357 and its Senate companion bill.
  • Initiated the successful sale of the company following the tragic death of Dr. Victor Miranda my clinical partner, co-founder and close friend.

Art was retained by the board of directors as President/COO of a public Telematics and proprietary technology firm, to plan and execute a restructuring of the business to restore financial stability, predictability and profits.  Art modified key management positions, capital structure and operating environment, re-aligned the reporting structure and redirected the sales strategy to leverage high-profile strategic alignments. He formally secured and expanded core IP assets, implemented a defensible protection plan, and restored defaulted vendor and creditor accounts with partial equity swaps.  Art negotiated several very high impact strategic partnerships shortening the product development cycle and opening substantial new vertical channels through "brand sharing" arrangements.  Subsequently Art initiated a successful PIPE financing managed by a large regional investment banking firm with proceeds sufficient to recapitalize and upgrade the company to a fully reporting NASDAQ listing which dramatically improved shareholder value and liquidity.

Specific accomplishments:

  • Secured Major co-branding relationships with companies like Lockheed Martin Aerospace, Oracle, Global Star, WorldCom and IBM
  • Converted large volume of defaulted creditor accounts into company equity, securing vital support from previously disgruntled suppliers and vendors.
  • Completed NASDAQ upgrade listing resulting in a 40% increase in market capitalization.

Founder, SR VP Corporate Strategy and Planning, M&A

NYSE:ESR, GroupMAC as re-branded upon our acquisition of Building One Services ($2.3B). Art played a key role in developing the company from truly a "kitchen-concept" into an NYSE listed, dominant player in the $65B Mechanical Services  sector.  He was fully engaged from the formation of seed capital and commercial banking facilities to a first year NYSE IPO. Leading the planning and implementation of the company's core market development strategy and national acquisitions campaign were among his contributions.  He secured the company's initial $85m acquisition. Over the next 4 years the business exploded to over $3.4 billion in annual revenues generated by over 31,000 employees driving the 10th largest fleet in over 200 US markets. Art performed initial assessments of hundreds of acquisition candidates and closed numerous platform acquisitions and countless tuck-in acquisitions, he was branded as the "Mother-Tucker" for his leadership in managing integrations nationwide.

  • Conceptualized and implemented a highly accretive integration plans for acquired companies, preserving revenues, increasing margins and capturing synergies.
  • Conceived and executed an aggressive and highly successful national acquisitions campaign.

GroupMAC, Inc.

GroupMAC (Maintenance America Corp) was the acquisition vehicle formed to initiate our roll-up in the mechanical services industry (HVAC, Plumbing, Electrical, V&D Cabling).The company was founded by Art and 3 others with seed capital from consolidation veterans at Sterling Group. In 6 months' we acquired adequate operating revenues to float an IPO on the New York Stock Exchange (NYSE).  Within the year we were running at $1.0B, and in year 4 we topped $3.4B, and 31,000 employees.  Art performed on-site business assessments on hundreds of companies nationwide resulting in over 150 closed platform and developmental acquisitions ranging in size from $.5m to $250M. 

Significant Accomplishments:

  • Developed and managed a highly accretive developmental acquisitions program averaging an outstanding 4:1 market cap ratio on acquired EBITDA.
  • Sourced and acquired scores of high quality dominant local brands.

At Century Development, Art served as a licensed NASD licensed securities dealer engaged in the acquisition and syndication of numerous large scale commercial real estate assets. In his position he was responsible for managing a team of sales associates and callers, and the marketing of syndication units to Regulation D accredited investors.  His position also included limited involvement in asset evaluation, due diligence and packaging of investment products.
