President, COO

Varitek Industries, Remote Knowledge

I was retained by the board of directors as the President and COO of this struggling public Telematics and technology firm to orchestrate a complete revitalization of the business and to restore financial stability and predictability.  I restructured the management, financial structure and operating environment, re-aligned the reporting structure and redirected the sales strategy.  I formally secured and expanded the primary corporate IP assets and implemented a defensible protection plan, and restructured defaulted vendor and creditor accounts.  Through the negotiation of several high profile strategic partnerships and outsourcing relationships with key technical and channel partners I shortened the company's development to market cycle by 50%  and facilitated the opening of significant new  marketing channels through "brand sharing" arrangements.  Upon completing the business repositioning, I initiated a successful PIPE financing through a large regional investment banking firm which was sufficient to recapitalize the venture and move the company listing from the pink sheets to a fully reporting NASDAQ listing dramatically improving shareholder value and liquidity.

Specific accomplishments:

  • Secured Major co-branding relationships with companies like Lockheed Martin, Oracle and IBM
  • Converted in excess of $10 million in defaulted creditor accounts into company equity, securing needed support from previously disgruntled suppliers and vendors.
  • Secured substantial private equity investment in a public company enabling an upgrade to a NASDAQ listing resulting in a nearly 40% increase in market capitalization.

Founder, Sr VP Corporate Strategic Planning, M&A

Group Maintenance America Corporation, GropuMAC

GroupMAC was the initial acquisition vehicle we formed to initiate our roll-up of the $50B mechanical services industry (HVAC, Plumbing, Electrical, V&D Cabling). The company was started by me and 3 other individuals with a seed investment from the Sterling Group. In the first year of operations we acquired companies representing an initial $124M in operating assets and floated an IPO on the New York Stock Exchange (NYSE). We achieved the $1 B milestone within one year of the IPO, and $3.4 B and over 36,000 employees within 4 years. During my tenure with the company we performed initial assessments and preliminary due diligence on hundreds of companies nationwide which resulted in nearly 250 platform and developmental acquisitions ranging in size from $.5m to $250M.

Significant Accomplishments:

  • Sourced and acquired the initial $85M acquisition that launched the company
  • Developed highly accretive developmental acquisition program with average 4:1 ratio on acquired EBITDA.
  • Developed our prvate intranet communications infrastructure drastically reducing expenses while increasing security and data transmission rates to expedite quarterly public reports and facillitate operational communications.

Founder, Sr VP Corporate Strategy and Planning, M&A

NYSE: ESR was the successor to GroupMAC following the acquisition of Building One Services Corporation. As a founder I was directly involved in developing the company from a concept into a formal business plan and ultimately an NYSE, Fortune 500 company. Actively involved in origination of initial seed capital and commercial banking facilities as well as our first year anniversary NYSE initial public offering (IPO).  I was directly responsible for the development and implemention the company's planning and market development strategy and national acquisitions campaign, and initiated the company’s first $85m acquisition. During my tenure the business exploded from a concept  to over $3.4 billion in annual revenues with in excess of 36,000 employees in most of the top 200 US cities.  I was responsible for numerous platform acquisitions and managed all developmental (tuck-in) acquisitions and integrations nationwide.Additional early stage responsibilities included oversight of corporate and acquired operating facilities, and corporate information systems and communications infrastructure.

Specific Accomplishments include:

  • Developed and implemented highly accretive integration models for acquired companies.
  • Developed a nationwide acquisitions strategy that served as the operating framework enabling the company to achieve an NYSE listing in our first year of operations and Fortune 500 stature less than two years from start-up.
  • Implemented an integrated GIS and facilities database for tracking relevant documentation and data sets for over 300 physical operating locations.
